Together Against Poverty Society - 2019 Annual General Meeting

 

Special resolution #1:

 

The Members of the Together Against Poverty Society authorize the alteration of our Bylaws as set out below. 

 

This alteration will involve the repeal of existing bylaws 4.2, 4.3 and 4.4, to be replaced with new bylaws 4.2.1, 4.2.2, 4.2.3, 4.2.4, 4.3 and 4.4. The purpose of these changes is to make the process of electing board members more efficient and transparent. 

 

Existing Bylaw:

Election or appointment of directors

 

4.2 At each annual general meeting, the voting members entitled to vote for the election or appointment of directors must elect or appoint the Board.

Directors may fill casual vacancy on Board

 

4.3 The Board may, at any time, appoint a member as a director to fill a vacancy that arises on the Board as a result of the resignation, death or incapacity of a director during the director’s term of office.

4.4 A director appointed by the Board to fill a vacancy ceases to be a director at the end of the unexpired portion of the term of office of the individual whose departure from office created the vacancy.

Proposed Bylaw: 

Election of directors

 

4.2.1 At each annual general meeting, the voting members entitled to vote for the election of directors must elect the Board.

 

4.2.2 In order to be eligible to stand for election to the Board, a person must be nominated in accordance with bylaw 4.2.3 and 4.2.4.

 

4.2.3 Prior to the Annual General Meeting and up until 30 days before the Annual General Meeting, the Board will receive nominations of members who wish to be elected to the Board.

 

4.2.4 At the time of sending the Notice of General Meeting, the Board will distribute to members the list of members who wish to be elected to the Board.

Directors may fill casual vacancy on Board

 

4.3 The Board may, with the unanimous consent of the directors, appoint a member as a director to fill a vacancy on the board at any time.
